SMS Terms & Conditions

These Mobile Messaging Terms & Conditions (“Messaging Terms”) govern all text and mobile messages sent to you by Kaizen Ventures, Inc. (“Kaizen Ventures,” “we,” “us,” or “our”). These Messaging Terms apply in addition to, and work together with, our Privacy Policy and Web Terms and Conditions. In the event of any conflict between these Messaging Terms and our Privacy Policy or Web Terms and Conditions regarding mobile messaging, these Messaging Terms will control. For all other matters, our Privacy Policy and Web Terms and Conditions apply.

By providing your mobile phone number to Kaizen Ventures, or by texting us first, you agree to these Messaging Terms.

1. SCOPE OF THESE MESSAGING TERMS

Kaizen Ventures may contact you using one or more of the following methods, each of which is covered by these Messaging Terms:

• SMS text messages sent through our business phone system
• SMS text messages sent through our SMS/A2P messaging platform
• iMessage and SMS text messages sent from Kaizen Ventures corporate mobile phones
• WhatsApp and WhatsApp Business messages, where you have separately agreed to communicate with us on that platform

2. CONSENT TO RECEIVE MESSAGES

We only send text and mobile messages to individuals who have told us that text or mobile messaging is an acceptable way to reach them. You may provide this consent by:

• Giving us your mobile number on a web form, order form, or quote request and indicating you accept text communications
• Texting us first, or replying to a message from us
• Expressly agreeing, verbally or in writing, to receive text or mobile messages from a Kaizen Ventures representative during a call, meeting, or other business interaction

3. TYPES OF MESSAGES YOU MAY RECEIVE

Messages from Kaizen Ventures relate to our business relationship with you. This includes, without limitation:

• Responses to questions you have submitted
• Product and quote information you have requested
• Order, renewal, and account confirmations
• Scheduling and appointment coordination
• Customer support and account service

4. MESSAGE FREQUENCY AND COSTS

Message frequency varies based on your relationship with Kaizen Ventures. Message and data rates may apply, based on your mobile carrier plan.

5. HOW TO OPT OUT OR GET HELP

SMS (business phone system and A2P messaging platform): Reply STOP to any message to opt out. Reply HELP for assistance. After you reply STOP, we will send one final message confirming your opt-out, and you will receive no further texts from that number unless you opt back in.

iMessage and corporate mobile SMS: Reply STOP, or tell the Kaizen Ventures representative texting you that you would like to stop receiving messages.

WhatsApp: Reply STOP, block the Kaizen Ventures contact, or leave the conversation to stop receiving messages.

The opt-out keyword must be sent from the phone number you want removed. If you have consented to messaging on more than one number, you will need to opt out separately on each number, or contact us using the information in Section 10 for assistance.

If your phone number changes, please notify us so we can update our records and avoid messaging your old number in error.

6. YOUR MOBILE INFORMATION WILL NOT BE SOLD OR SHARED FOR MARKETING

Kaizen Ventures will not sell, rent, or share your mobile phone number or your consent to receive text messages with any third party for that third party’s marketing or promotional purposes. Information collected in connection with mobile messaging consent is used only to document your consent, send you the messages you have agreed to receive, and comply with applicable law. This commitment applies regardless of any other provision in our Privacy Policy.

Vendors who help us deliver messages, such as our telephony and SMS platform providers, process your information solely to transmit messages on our behalf, under confidentiality and data protection obligations to Kaizen Ventures.

7. PRIVACY

Our collection and use of your personal information, including information related to mobile messaging, is described in our Privacy Policy. Section 6 of these Messaging Terms controls over the Privacy Policy specifically with respect to mobile opt-in data and consent.

8. AGE REQUIREMENT

You must be at least 18 years old to consent to receive mobile messages from Kaizen Ventures, consistent with our Web Terms and Conditions.

9. CHANGES TO THESE MESSAGING TERMS

Kaizen Ventures reserves the right, at its sole discretion, to modify these Messaging Terms at any time, and such modifications shall be effective immediately upon posting on this page. You agree to review this page periodically to be aware of such modifications, and your continued receipt of or engagement with text or mobile messages from Kaizen Ventures shall be deemed conclusive acceptance of such modified Messaging Terms.

11. GOVERNING LAW

These Messaging Terms shall be governed by and construed in accordance with the laws of the State of New York without regard to principles of conflict of laws, and all disputes as to the validity, execution, performance, interpretation, or termination of these Messaging Terms will be submitted to the exclusive jurisdiction of the competent courts thereof. If any provision of these Messaging Terms is found by a court of competent jurisdiction to be invalid, such invalidity will not affect the enforceability of any other part or provision of these Messaging Terms.
